We are cutting down Elm trees and wanting to use the wood chips for a filler for low spots in the yard. We also want to plant grass seed over it.Will the grass grow with the wood chips sowed in?

No because the chips will interfere with germination and as the chips decompose, they will draw nitrogen from the soil that the grass despertly needs. Either do as above, mulch around trees or start composting it for use later.

Fresh wood chips will hinder or stop entirely the germination and growth of grass. As fluffern mentioned there will be no nitrogen available for the grass while the chips are breaking down, and grass needs more nitrogen than most plants for healthy growth. Although later, when the wood has partially decayed, you could have a bumper crop of mushrooms.
Just guessing

Maybe after a few years when it breaks down. The chips would be better used to Stop grass growth under and around trees and bushes. Use what you are able and give the rest away or sell it on a site such as www.craigslist.org

any chips are alright as long as you dont overdoit, making the mulch and chips to thick will cause fungus and mildew then you have a problem. all this really does when assind chips/mulch is holding in moisture for the plant. i myself prefer rocks or nothing at all. chips and whatnot get old and usally dont break down enough. then you just have a mess. just burn them. also cedar chips would be better bugs dont like cedar. good luck
